Job Description
Nord Anglia Education is looking to recruit a Head of Company Secretariat to join our Legal team, sat within the Group Central Support.
As a member of the central support Legal team in our London headquarters location, we are looking for someone to work alongside the Head of Corporate & Commercial, Legal.
The role:
We seek a talented, qualified and experienced legal specialist to:
- Manage, and be the principal point of contact for, outsourced registered agents and company secretarial service providers across a global portfolio.
- Liaise with external legal counsel, auditors and any other parties as and when required.
- Liaising with various departments and offices in different countries and time zones across a global portfolio.
- Managing a group-wide framework to ensure group companies comply with local requirements.
- Maintain corporate compliance calendar.
- Implementing tools and procedures to improve record-keeping of group company information.

- Responsible for incorporation of new companies relating to real estate and M&A projects as well as integration of acquired companies for M&A projects.
- Providing support to Chief Legal Officer & Company Secretary at meetings of the NAE Group board and its committees, including:
- Maintaining forward planners.
- Working with management to set agenda.
- Ensuring the timely publication of high-quality materials to board portal, working with internal colleagues to assemble the relevant materials.
- Producing high quality minutes within expected timescales.
- Tracking to completion actions arising from meetings.
The Successful Candidate will possess:
- Experience in a large, multinational company environment, supporting a global portfolio.
- Degree holder.
- ICSA qualification or equivalent.
- Solid post-qualification company secretarial experience.
- Excellent technology skills, including in relevant software packages such as subsidiary management systems, board portals (e.g. Diligent), Microsoft Excel, Word, Outlook, PowerPoint and Visio.
- High level planning, prioritisation and organisational skills.
- Willing to help and be flexible.
- The ability to work accurately and meet tight deadlines.
- The ability to identify issues, suggest and implement solutions as necessary.
- Excellent interpersonal skills with the ability to communicate effectively at all levels in a wide variety of countries and time zones.
- Excellent communication skills.
- Willingness to learn essential.
- Desirable attributes include:
- Experience in a listed company environment.
- Experience in an in-house company secretarial function preferred.
- Foreign language skills (such as Chinese, Spanish or French).
